About the team 

We are looking for an experienced deputy company secretary to join Tide’s close-knit company secretariat team, including a company secretary assistant and a network of external secretarial service providers. You will report to the Chief Administrative Officer and General Counsel based in London.

About the role 

Tide is at an exciting stage of its growth journey and this role offers the opportunity to help shape the Company Secretariat function to ensure it is well placed to support our expanding business in the UK, India, continental Europe and beyond! You’ll play a pivotal role delivering efficient company secretarial and governance advisory services, ensuring adherence to Group policies, regulatory mandates, and legal frameworks. You will have the opportunity to work alongside Tide’s senior leadership team as well as cross-functionally across the wider organisation on a number of  corporate, legal, financing and governance initiatives.

 

Responsibilities:

  • Coordinating and managing board and committee meetings, including preparing agendas, collating and distributing board packs, taking minutes and disseminating follow-up information to key internal stakeholders.
  • Maintaining the Group’s statutory registers and ensuring timely filing of statutory returns.
  • Providing company secretarial support for strategic projects such as M&A transactions, financings and secondary share sales.
  • Helping to set up new Group global entities and servicing the same.
  • Working alongside our People Team to implement and administer Tide's employee equity schemes.
  • Providing corporate governance input on Tide’s ESG initiatives, including advising on best practice requirements.
  • Working closely with our executive to develop and implement corporate governance policies and procedures.
  • Managing the company secretariat team, currently composed of an Assistant Company Secretary (based in India) and external service providers across a number of jurisdictions.
  • Assisting in managing communication with investors and handling investor queries.
  • Collaborating with finance teams to collate and submit KYC information as required by banks, regulatory bodies and key vendors.
  • Monitoring changes in relevant legislation and keeping Tide’s corporate governance practices up to date with applicable legal and best practice requirements.

What we are looking for 

We’re seeking an experienced Deputy Company Secretary, ideally someone who has worked for another VC-backed high growth company, to oversee the day-to-day running of Tide’s corporate secretarial function. 

 

You’re a skilled communicator, with a proven track record of fostering alignment and setting shared goals. You embrace challenges and changes, bring fresh perspectives, and set a positive example for others. You are comfortable engaging directly with the C-suite and thrive in a fast-paced environment, being able to juggle several key strategic projects at the same time. You are your best  in ambiguous situations and are able to navigate the evolving scale-up tech company environment. 

  • You’re a UK qualified chartered company secretary or solicitor.
  • You have a minimum of 7-10 years overall professional experience, part of which includes proven experience in a company secretarial role at a financial services, multi-national or listed company.
  • You have strong knowledge of the Companies Act 2006 and corporate governance principles.
  • You have excellent time management skills, are able to prioritise tasks within a fast paced environment and work to tight deadlines.
  • You have a collaborative personality and can-do attitude.
  • You have exceptional attention to detail and accuracy.
  • You have experience communicating with cross-functional teams and building relationships with senior stakeholders.
  • You are passionate about providing above-and-beyond service to stakeholders
  • You love tech and tools, and love exploring how they can contribute to operational efficiency and business growth.
  • You are comfortable working in a fast-moving company where priorities can change and processes may need to be created from scratch
  • It would be an added bonus if you have experience of working with Diligent and Ledgy.
