Tide Credit Score Insights Terms and Conditions

Introduction
1.1 Credit Score Insights is provided by Tide Platform Ltd (09595646) (“Tide” or “we”), a company incorporated in England & Wales with its registered address at 4th Floor The Featherstone Building, 66 City Road, London, England, EC1Y 2AL.
1.2 Credit Score Insights is only available to Tide members who are limited companies. By clicking the “Subscribe now” button during your Credit Score Insights activation process, you are accepting these terms on behalf of the company that you represent. They form a legal agreement between your business, the Tide Platform Account holder (“you”, “your”), and Tide.
1.3 These Credit Score Insights Terms and Conditions (or “these terms”) should be read together with the relevant Tide Terms governing your use of Tide Platform, which are available at Terms and conditions | Tide Business.
1.4 Any capitalised terms used here but not defined shall have the meanings given to them in the Tide Terms. Credit Score Insights Terms and Conditions will prevail in case of any conflict with the Tide Terms.
2. How does it work?
2.1. Credit Score Insights lets you view your business credit score (the credit score of the limited company that you represent) and various insights and possible factors affecting it. Your business credit score is compiled by Credit Reference Agencies and obtained by Tide through third party sources.
2.2. Credit Score Insights includes:
Access to your business credit score;
Access to insights from your credit profile that affect your credit score;
Monthly alerts on the updates of your business credit score or insights;
Access to educational content on credit scores.
2.3 Please familiarise yourself with the applicable FAQ page containing important additional details about Credit Score Insights, as it forms part of these terms. We may amend the FAQ pages and we may add features from time to time without notice.
3. Subscription Fees and Billing
3.1 Credit Score Insights costs £4.99 per month to use. Subscription fees will be billed in the first week of each calendar month in advance, typically on or around the 4th day of each month.
3.2 Your first month’s subscription fees will be debited from your Tide Business Account on a pro-rata basis when you sign up to Credit Score Insights (or in case a free trial period applies, on the date it expires). For example, if you sign up to Credit Score Insights on 15 July, your first payment covering approximately half of the monthly fees will be taken from your Tide Business Account on 15 July. On or around 4 August, you will then be charged the full subscription fees for August.
3.3 From time to time, Tide may change the subscription fees and billing terms. Such changes will be communicated to you by email, in-app or through our website.
4. Renewals and cancellations
4.1. Your subscription will automatically renew each month unless you cancel. You can cancel at any time by clicking on the “Cancel subscription” button, by contacting our member services at hello@tide.co or through the in-app chat. You can cancel your subscription to Credit Score Insights at any time during the month. If you cancel in the middle of the month you will still be charged subscription fees in full for that month. There will be no pro-rata refund of subscription fees in case of early cancellation.
5. Authorisation of Tide for Debit
5.1. You authorise Tide to debit your Tide Business Account (including any additional accounts you open under your main account) for all subscription fees. If there are not enough funds in any of your accounts, then you must pay the amount due immediately upon demand, together with any processing and collection fees and costs, and any interest incurred. We reserve the right to suspend your access to Credit Score Insights if we are not paid any monies owing to us by you on time.
6. Changes to fees and billing
6.1. Occasionally, we may offer time-limited promotional fee discounts or other incentives, so please make sure to read any notices we give you regarding such promotional terms. We may withdraw or change promotional offers at any time.
6.2. From time to time, Tide may change the subscription fees and billing terms. Such changes will be notified to you by email or in-app. You can cancel your subscription at any time after such notice has been given but if you continue using Credit Score Insights, we will treat this as an acceptance of the new fees by you.
7. Important Information About Your Credit Score
7.1. There are many factors that affect your business credit score. Factors which may affect your credit score include (but are not limited to) whether you pay your bills on time (including invoices), how often you’ve applied for credit in the past, whether you’ve exceeded overdraft limits and whether you file your business accounts on time. The assessment of your credit score is conducted by Credit Reference Agencies. Credit Score Insights is designed to provide access to your score as well as insights and tips that members can use themselves to help influence their score but it cannot guarantee an improvement or accuracy of your credit score. 8. Warranties
8.1 Credit Score Insights is provided on an “as is”, “as available” basis and without any representation or warranty, whether express, implied or statutory. In particular:
Tide does not warrant that availability, performance or information available on Credit Score Insights will be error free;
Tide shall not be responsible for any interruptions, including, but not limited to, system failures or other interruptions that may affect your ability to access Credit Score Insights at any point of time;
Tide makes no representation or recommendation as to and accepts no responsibility for any services, information, tools or features provided by third parties;
Tide does not warrant that Credit Score Insights will meet your individual requirements or produce particular outcomes or results.
8.2 Although Tide strives to ensure that data and information contained in the Tide Platform, or other materials, documentation, or data are current, Tide is sometimes dependent on third parties to timely update and provide information that affect such data and information.
9. No Professional Financial Opinion or Advice
9.1. You acknowledge and agree that Tide does not provide professional advice, including financial opinions or advice. None of the information available within Credit Score Insights, Tide’s Knowledge hub, the Tide Platform or the Tide website is meant to be financial advice. You should seek independent financial advice before making any decisions about the financial future of your company.
10. Liability
10.1. Except for liability for death or personal injury or for fraud or fraudulent misrepresentation or for any liability that cannot be excluded or amended by law, and to the fullest extent permissible pursuant to applicable law, Tide shall not be liable under these terms for breach of contract or tort (including negligence).
11. Amendments
11.1. We will generally give you at least one (1) month’s prior notice of any changes to these terms. This will normally be provided through the Tide Platform, although in some cases, other methods such as e-mail might be used. The date when the change will take effect will be included in the notice.
11.2. In some cases, we may not notify you in advance of a change being made, for example:
if the change benefits you (e.g., we introduce new features that improve our service);
if we make a change to comply with law, rule or regulation or related guidance and we’re not reasonably able to provide advance notice; or
if there are minor changes to Credit Score Insights or the way the service operates that do not affect the quality of the service, the functions or your rights under these terms.
11.3. Unless you’ve told us otherwise before any change takes place, we’ll assume that you’ve accepted the change. If you do tell us that you do not accept any change, your notification will be deemed to be a notice that you wish to terminate the Credit Score Insights Terms and your right to use Credit Score Insights on the date upon which the changes are due to take effect (or any other date that you request in advance of the changes taking effect).
12. Termination
12.1. These terms will remain in place indefinitely until terminated by you or by us. You may terminate these terms and your right to use Credit Score Insights at any time by contacting our member services at hello@tide.co or through the in-app chat or by simply canceling your subscription to Credit Score Insights as per clause 4 above.
12.2 We will normally give you written notice at least one (1) month prior to terminating these terms and your right to use Credit Score Insights. However, we may terminate these terms and your use of Credit Score Insights with immediate effect on the expiration of an applicable free trial period, if any.
12.3. We may also terminate these terms and your use of Credit Score Insights in any of the circumstances in which Tide can terminate or suspend Services under the Tide Terms which govern the use of your Tide Account and the Tide Platform. For example, we can terminate these terms and the use of Credit Score Insights with immediate effect upon notice to you if you have been suspended from your Tide Platform Account for a period of 90 days and you have failed to remediate the cause for suspension or if you violated these terms, any of the Tide Terms or our Acceptable Use Policy.
12.4 The termination of these terms and Credit Score Insights shall not automatically lead to the termination of any of the Tide Terms unless we inform you otherwise. However, your or Tide’s provision of notice to terminate the Tide Terms or the closure of your Tide Business Account shall additionally constitute a notice of termination of these terms. There will be no pro-rata refund of subscription fees for the calendar month in which cancellation or termination takes place.
13. Other Important terms
13.1. If any provision of these terms is found to be unlawful, invalid, void, or unenforceable for any reason, the validity and enforceability of the remaining provisions shall not in any way be affected or invalidated.
13.2. If we don’t exercise the rights that we have against you straight away, we can still do so later.
13.3. English law applies to these terms, and the parties agree to the exclusive jurisdiction of the courts of England and Wales.
